We regularly represent start-up companies and assist the founders with selecting the appropriate type of entity, forming the entity, and advising as to capitalization and governance questions and issues. We focus on ensuring that appropriate stock restriction agreements, operating agreements, or other agreements are in place that are not mere boilerplate documents, but rather, thoughtfully set forth the agreements between the owners so as to avoid future disputes.
Buy-Ins & Buy-Outs
We represent both individuals and businesses in bringing in new owners and buying-out retiring or departing owners. We also deal with partnerships and businesses that are breaking-up or coming to an end, both in negotiating resolutions and, where necessary, litigating and arbitrating disputes.
Sales and Acquisitions
We counsel and represent both buyers and sellers of businesses. We are focused on assisting clients in determining whether a proposed transaction is truly advisable and then negotiating and drafting appropriate agreements and documents so that the client has the best chance possible of having the transaction unfold as envisioned. We have represented clients in transactions ranging from $10,000 to more than $100 million.
Joint Venture, Licensing, & Other Agreements
We regularly review, negotiate, and draft agreements between our clients and their business partners, customers, and employees covering all aspects of our clients’ businesses.
We assist our clients with obtaining, negotiating, and closing commercial and other forms of financing and refinancing arrangements and represent borrowers and commercial and individual lenders.
